Terms of Service

Effective Date: June 24, 2026

1. Agreement to Terms

By subscribing to, accessing, or using THE RACK, you agree to these Terms of Service. If you do not agree, do not subscribe to or use the software. These terms form a binding agreement between you and Soul Serpents, LLC. You must be at least 18 years of age to create an account.

2. Subscription License

THE RACK is provided as a subscription service. Your subscription grants you a limited, non-exclusive, non-transferable, revocable right to access and use THE RACK for your personal or business use in managing your reptile collection, breeding program, or related operations for as long as your subscription is active and paid. Paid subscriptions renew automatically until cancelled. This does not transfer ownership of the software. All rights not expressly granted herein are reserved by Soul Serpents, LLC.

Existing license holders: Customers who purchased a one-time license before THE RACK moved to a subscription model retain access under the terms in effect at the time of their original purchase. Those accounts are not charged a recurring fee.

3. Service Tiers and Pricing

THE RACK is available in the following tiers:

• Free: Up to 5 animal records. Free forever, with no recurring charge. Intended for pet keepers and buyers who claim an animal via QR scan.
• Keeper: Up to 500 animal records. $10/month. Designed for reptile keepers.
• Breeder: Unlimited animal records. $20/month. Designed for breeding facility management.

Features and limits for each tier are defined at therackapp.io. Paid plans are billed in advance on a recurring monthly basis to the payment method on file, and renew automatically until cancelled, subject to the price-change terms below.

4. Automatic Renewal

You consent to this automatic renewal when you subscribe. This disclosure is provided to comply with applicable automatic-renewal laws, including the California Automatic Renewal Law.

5. Price Changes

We reserve the right to change our subscription prices at any time. If we change the price of your subscription, we will notify you by email, sent to the address on your account, at least 30 days before the change takes effect.

The new price will apply to your next billing cycle on or after the effective date stated in that notice. If you do not agree to the new price, you may cancel your subscription before the change takes effect, and you will not be charged the new amount. Your continued use of the subscription after the price change becomes effective constitutes your acceptance of the new price.

Price changes never apply retroactively to a billing period you have already paid for.

6. Cancellation

You may cancel your paid subscription at any time, directly from your account settings in THE RACK. Cancellation is self-service and requires no more steps than signing up required. You may also cancel by emailing support@therackapp.io.

When you cancel, your subscription remains active through the end of the current paid billing period, and you retain access until that date. Cancellation stops the next renewal charge. We do not provide prorated refunds for the unused portion of a billing period, except as required by the 7-Day Money-Back Guarantee below or by applicable law.

7. 7-Day Money-Back Guarantee

If you are not satisfied, you may request a full refund of your first subscription payment within 7 days of that initial charge. This applies one time, to your first payment only. To request a refund, email info@soulserpents.com within 7 days of your first charge. Once approved, your refund is issued to your original payment method within 10 business days. Renewal charges are non-refundable. After the initial 7-day window, all subsequent monthly renewal charges are final. You may cancel at any time to stop future charges; cancellation stops the next renewal but does not refund a charge already made.

8. Failed Payment

If a renewal payment fails, we will retry for up to 3 days. If payment still cannot be collected, access is suspended until payment succeeds. You may update your payment method or cancel at any time from your account.

9. Add-On Subscriptions

THE RACK offers optional add-on features available as annual subscriptions. Add-ons are billed through Shopify and appear in your Shopify account alongside your subscription. Add-on subscriptions also renew automatically until cancelled, and the price-change terms in Section 5 apply to them.

Cancellation Policy

You may cancel any add-on subscription at any time. Upon cancellation, the add-on remains active through the end of your current paid period. No refunds are issued for the remaining time after cancellation. When the paid period ends, the add-on features will be deactivated and your account will revert to the included limits of your subscription tier.

Third-Party Integration Add-Ons

Certain add-ons, including sensor monitoring packs, rely on third-party services (such as the Govee developer API) that Soul Serpents, LLC does not control. If a third-party provider discontinues their API or revokes access, making the add-on non-functional through no fault of yours, Soul Serpents, LLC will cancel the affected add-on and issue a prorated refund for the remaining period of your annual subscription. This is the only circumstance under which a prorated refund is issued for add-on subscriptions.

Affiliate Links

THE RACK may display links to compatible third-party hardware products on Amazon.com or other retailers. These links may contain affiliate tags. Soul Serpents, LLC may earn a commission on purchases made through these links at no additional cost to you.

10. Geographic Restrictions

THE RACK is currently available to customers in the United States only. Purchases from outside the United States are not permitted. Soul Serpents, LLC reserves the right to expand availability to additional regions in the future.

11. Your Data

Your breeding data is stored securely on Soul Serpents, LLC infrastructure. You retain ownership of the data you enter. You may export your data at any time using the built-in export tools. Soul Serpents, LLC does not sell or share your personal data with third parties.

You authorize Soul Serpents, LLC to collect, store, and process data you submit through THE RACK for the purpose of operating the platform, improving the service, and building platform-wide features including but not limited to lineage and registry systems. Registry and lineage data derived from animal records may be used to power platform features. This data pertains to animals, not personal information.

If you choose to use Rack Central’s optional identity verification, the photos you submit (a photo of you holding a government-issued ID and a photo of your animals) are used solely to verify your identity and are permanently deleted immediately after manual review. We do not retain the ID document or the photos. We retain only the verification result, the legal name we confirmed, and the date of verification. See the Rack Central Identity Verification section below for details.

12. Platform Continuity and Shutdown Notice

Soul Serpents, LLC will provide no less than 90 days advance written notice before permanently discontinuing THE RACK service. During this period, you will have full access to your data and export tools. A subscription grants access to the software for as long as the service remains operational and your subscription is active; it does not guarantee perpetual availability.

13. Support

Included Support

Active paid subscriptions include ticket-based support for the duration of the subscription. Support is delivered via our ticketing system and the channels listed at therackapp.io. Response times are within 48 to 72 business hours. Included support covers software bugs, login issues, and basic how-to questions.

What Is Not Included

The following are not included in standard support and are available only as paid services: data imports or migration from other platforms, one-on-one setup assistance, phone or video calls, and training sessions.

White Glove Import Service

If you need assistance migrating data from another platform, White Glove Import is available as a one-time paid service at $99. This service is separate from your subscription.

14. Founding Breeder Program

The Founding Breeder Program is closed. Benefits associated with the program do not apply to purchases made after the program closed. New subscriptions are governed solely by these Terms of Service.

15. Prohibited Use

You agree not to, and shall not permit or authorize any third party to, directly or indirectly:

• Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or architecture of the Software.
• Competitive Use: Subscribe to, access, or use the Software, or any demo, trial, or preview version thereof, for the purpose of building, designing, developing, or improving a competing product or service, or for the purpose of providing competitive intelligence to any third party.
• Derivative Works: Create, develop, or distribute any software or service that is substantially similar to, or derived from, the Software or any of its features, user interfaces, workflows, scoring systems, or proprietary algorithms.
• Benchmarking: Conduct or publish any benchmark tests, performance comparisons, competitive analyses, or feature comparisons of the Software without prior written consent of Soul Serpents, LLC.
• Scraping and Extraction: Use any automated means, including bots, scrapers, crawlers, or browser automation tools, to access, extract, copy, or catalog the Software's features, data structures, user interface elements, or content.
• Circumvention: Attempt to bypass, disable, or circumvent any access controls, security measures, usage restrictions, or license verification mechanisms in the Software.
• Redistribution: Copy, redistribute, sublicense, lease, rent, or otherwise make the Software available to any third party.
• Misrepresentation: Represent yourself as affiliated with, endorsed by, or acting on behalf of Soul Serpents, LLC or THE RACK without prior written authorization.
• Unlawful Use: Use THE RACK for any unlawful purpose.

The foregoing restrictions apply except to the extent that such activity is expressly permitted by applicable law notwithstanding any contractual restriction.

16. Intellectual Property

THE RACK, including its source code, object code, architecture, design, user interface, algorithms, scoring systems, data models, and documentation, is and remains the exclusive property of Soul Serpents, LLC. All rights not expressly granted are reserved. The Universal Lineage Registry system, including its architecture, registry numbers, and public verification infrastructure, is proprietary to Soul Serpents, LLC.

All trademarks, service marks, and trade names associated with the Software, including "THE RACK," "RACK Central," "Health HQ," "Sales HQ," and associated logos, are the exclusive property of Soul Serpents, LLC.

17. Proprietary Algorithms and Scoring Systems

The Software contains proprietary scoring algorithms, weighting systems, grading formulas, and assessment methodologies ("Proprietary Systems") that are trade secrets of Soul Serpents, LLC. These include, but are not limited to, facility health scoring, breeding fitness assessments, clutch health grading, pairing compatibility scoring, workload status calculations, and recovery status determinations.

You acknowledge that: (a) the Proprietary Systems represent significant investment in research, development, and domain expertise; (b) the specific weights, thresholds, formulas, and scoring methodologies are confidential and proprietary; (c) you will not attempt to determine, reconstruct, or publish the specific formulas, weights, thresholds, or scoring criteria used by the Proprietary Systems; and (d) any scores, grades, or assessments displayed by the Software are provided for your personal use and may not be published, shared, or used to reverse-engineer the underlying methodology.

18. Demo and Trial Access

Any demo, trial, preview, or evaluation access to the Software is subject to all terms and conditions of this Agreement. Demo and trial access is provided solely for the purpose of evaluating the Software for potential subscription. Any other use, including but not limited to competitive analysis, feature cataloging, architecture study, or benchmarking, is expressly prohibited. Soul Serpents, LLC reserves the right to monitor, limit, log, or terminate demo access at any time without notice.

19. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your credentials with any third party or allow any other person to access the Software using your account. You must notify Soul Serpents, LLC immediately of any unauthorized use of your account. Soul Serpents, LLC is not liable for any loss or damage arising from unauthorized access resulting from your failure to protect your credentials.

20. Indemnification

You agree to indemnify and hold harmless Soul Serpents, LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from: (a) your use of the Software; (b) your breach of these Terms; or (c) any breeding, health, or business decisions made based on information provided by the Software.

21. Remedies and Enforcement

You acknowledge that any breach of Sections 15 or 17 would cause irreparable harm to Soul Serpents, LLC for which monetary damages would be inadequate. Accordingly, Soul Serpents, LLC shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity, without the necessity of proving actual damages or posting any bond or other security.

In the event of a breach, Soul Serpents, LLC reserves the right to: (a) immediately terminate your subscription without refund; (b) pursue injunctive relief in any court of competent jurisdiction; (c) seek damages including lost profits, attorney fees, and costs of enforcement; and (d) report the breach to relevant industry organizations and law enforcement where applicable.

22. Disclaimers

THE RACK is provided as-is. Soul Serpents, LLC makes no warranties, express or implied, regarding fitness for a particular purpose or uninterrupted availability. We are not liable for losses resulting from data loss, service interruptions, or errors in the software.

Genetics Calculator and Breeding Tools

THE RACK provides genetics calculators, breeding outcome projections, and related tools for informational and planning purposes only. These tools are based on publicly available genetic inheritance models and are not guaranteed to be accurate. Soul Serpents, LLC makes no warranty regarding the accuracy of genetic predictions, breeding outcomes, or related calculations. You should not rely solely on these tools for breeding decisions.

Health and Veterinary Tools

THE RACK provides health dashboards, field guides, standard operating procedures, scoring systems, and health management tools for educational and record-keeping purposes only. These tools are not a substitute for professional veterinary care. Soul Serpents, LLC makes no warranty regarding the accuracy of health assessments, treatment guidance, or related outputs. Any health or veterinary decision for your animals should be made in consultation with a qualified veterinarian.

Sales Tracking and Invoices

THE RACK provides tools to track sales, generate invoices, and manage customer records for your breeding operation. These are record-keeping tools only. Soul Serpents, LLC is not a party to any transaction between you and your buyers. We do not process payments, guarantee payment, mediate disputes, or assume any liability for transactions conducted between breeders and buyers. All sales, pricing, shipping, and customer service are solely your responsibility.

User-Generated Public Content

Certain features of THE RACK allow you to share information publicly, including public incubator clutch pages, animal report cards, and RACK Central marketplace profiles. You control what data is made public through your privacy settings. Soul Serpents, LLC is not responsible for information you choose to share publicly.

RACK Central includes messaging between users. You are responsible for your communications and agree not to use messaging for harassment, fraud, or unlawful purposes. Soul Serpents, LLC does not monitor, and is not responsible for, communications between users or the accuracy of any listing.

Rack Central Identity Verification

Rack Central offers an optional, free identity verification so breeders can earn an “ID Verified Breeder” badge. If you choose to verify, you submit a photo of yourself holding a government-issued ID, a photo showing your animals, and your legal name. These photos are reviewed manually by Soul Serpents, LLC staff and are permanently deleted immediately after review. We do not store your ID document or your photos; we retain only the verification result, the legal name we confirmed, and the date. Verification is never required to use Rack Central or to list animals.

The “ID Verified Breeder” badge means only that Soul Serpents, LLC confirmed the identity of the account holder at the time of review. It is not a guarantee of any sale, animal, payment, health, genetics, or shipping, and Rack Central remains not a party to any transaction. Verification does not endorse a breeder and does not transfer any liability to Soul Serpents, LLC. Buyers remain solely responsible for evaluating any seller and transaction.

23. Governing Law

These Terms of Service are governed by the laws of the State of Michigan, without regard to its conflict of laws provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Michigan, and the parties hereby consent to personal jurisdiction and venue therein.

24. Changes to These Terms

Soul Serpents, LLC may update these Terms of Service from time to time. For material changes, we will provide reasonable notice by email or through the Software. For any change to subscription pricing, the 30-day notice in Section 5 applies. Continued use of THE RACK after a change takes effect constitutes acceptance of the updated terms.
